The Infomaniak Foundation underpins the company’s independence, builds trust with its clients, and fosters its growth: this governance structure is a strategic component of the business model. As a Swiss public-benefit foundation, it holds the majority of voting rights and will retain them after the company goes public. The role of the Infomaniak Foundation

Two categories of shares

Class B shares, which are the only ones listed, provide access to economic value. Class A shares—which are preferred voting shares, unlisted, and not freely transferable—are held entirely by the Foundation. They grant the Foundation 63.3% of the voting rights for 14.7% of the capital.

The commercial impact

Our institutional clients remain loyal, year after year. They choose a provider whose autonomy is firmly rooted in the long term: this structure offers them the stability that comes from Infomaniak’s autonomy and independence.

Funded by our profits

The Foundation may receive up to 5% of the profits, upon recommendation by the Board of Directors and when the company’s results and cash position permit. Its charter prioritizes retaining profits to fund R&D and infrastructure—the approach that has driven Infomaniak’s growth.

Who oversees the Foundation?

A board of four volunteer members: Marc Maugué, Jonathan Normand, Claire Siegenthaler and Boris Siegenthaler, who will serve as chair during an initial two-year term. The Foundation is subject to oversight by the Geneva cantonal authorities.

What will be bought and sold on the stock market is Infomaniak's economic value: no acquisition of the company is possible without the Foundation's consent.

Board of Directors and Management

The board of directors sets the strategy and oversees senior management, which runs the company’s operations. It has five members and is supported by a risk and audit committee and a compensation committee. The Infomaniak Foundation, the controlling shareholder, elects the board but does not manage the company.

Chairman

Frank Guemara, a certified public accountant with experience in consulting, auditing, and banking, has been appointed chairman. A member of the board of Perrot Duval Holding SA since 2022, he serves on the Risk and Audit Committee and the Compensation Committee.

Patricia Solioz Mathys

Vice-Chairwoman

Patricia Solioz Mathys, who served as CEO of Lausanne Region Public Transportation from 2020 to 2026 following fourteen years at Services Industriels de Genève, has extensive experience in the governance and management of large-scale public organizations. Her expertise in organizational transformation and sustainability supports Infomaniak’s development. She chairs the compensation committee.

Boris Siegenthaler

Director

Boris Siegenthaler, who founded Infomaniak in 1994, is a pioneer of the Web and web hosting in Switzerland. For more than thirty years, he has built an independent company that develops its own solutions and advocates a model based on technological sovereignty, local development, and a sustainable economy. He is chairing the board of the Infomaniak Foundation for an initial two-year term.

Paul Such

Director

Paul Such, a recognized cybersecurity expert in Switzerland, founded SCRT and later Hacknowledge SA, and currently heads Swiss Post Cybersecurity. He brings to the board a strategic perspective on security challenges, digital sovereignty, and trust in infrastructure. He chairs the Risk and Audit Committee.

Nicolas Eichenberger

Nicolas Eichenberger, who has been a member of the board of Perrot Duval Holding SA since 1993, served as its chairman from 2008 to 2026. He brings eighteen years of experience leading a publicly traded company and ensures the company’s continuity as a member of the board of Infomaniak SA.

Chief Executive Officer

Marc Oehler He has been with Infomaniak for more than twenty years, where he started in customer support before becoming Chief Customer Officer and then CEO, always maintaining a vision centered on user needs. He promotes a flat organizational structure where employee autonomy and accountability drive Infomaniak’s growth through a sustainable and responsible approach.

Boris Siegenthaler, founder of Infomaniak, has been championing an independent and innovative approach for more than thirty years, based on technological sovereignty, local development, and in-house expertise in solutions.

Céline Morey

Chief Financial Officer

With more than 27 years at Infomaniak, Céline Morey brings her experience to the Finance Department and the group’s strategic direction. Having witnessed the company’s growth from its inception, she ensures its financial stability and the transparency of its processes.

René Luria

Chief Technology Officer

René Luria, who has been with the group since 2001, supports the company’s technical strategy and fosters an open-source culture in its development efforts. As an infrastructure and networking specialist, he champions a technological vision centered on digital sovereignty and transparency.

Adrien Pedrina

Chief Customer Officer

Adrien Pedrina He oversees all aspects of customer relations, from business development to support, and leads the teams in Geneva and Zurich. He brings together the sales, support, and product teams to focus on the customer experience, from the first point of contact through to customer retention.

Maxime Joris

Chief Product Officer

Maxime Joris oversees Infomaniak's product strategy. He ensures the consistency and ambition of the solutions over the long term by aligning the product vision with users' actual needs and execution requirements.

VP of Infrastructure & Services

Martial Fol has organized the infrastructure department around specialized teams capable of addressing challenges related to expertise, automation, and reliability. It ensures the stability, resilience, and operational continuity of the infrastructure.

A score of 90.1 on the B Corp assessment, with a certification threshold of 80 and a median score of 50.9. The assessment covers governance, employees, community, the environment, and customers, and is subject to periodic recertification.

Documented alignment

The Group voluntarily applies the European Taxonomy Regulation to its activities. A limited assurance review of the alignment of its economic activities, covering the 2023 fiscal year, was conducted by an independent external organization, which issued a letter of assurance in November 2025.(1)
